1. Agreement to Terms

By accessing or using the Asionis website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Use License

Permission is granted to temporarily access the materials on Asionis's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose or public display
• Attempt to reverse engineer any software contained on our website
• Remove any copyright or proprietary notations from the materials
• Transfer the materials to another person or mirror the materials on another server

3. Services

3.1 Service Provision

Asionis provides software development, digital marketing, and related technology services. All services are subject to individual agreements and specifications outlined in project proposals or contracts.

3.2 Service Modifications

We reserve the right to modify or discontinue any service at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services.

4. Payment Terms

4.1 Fees

Payment terms are specified in individual service agreements. Unless otherwise stated, all fees are in British Pounds (GBP) and are due within the timeframe specified in your invoice.

4.2 Late Payments

Late payments may be subject to interest charges at the rate of 8% above the Bank of England base rate per annum, as permitted by the Late Payment of Commercial Debts (Interest) Act 1998.

4.3 Cancellation

Unless otherwise specified in your service agreement, you may cancel services with 30 days written notice. No refunds will be provided for services already rendered or monthly subscriptions in progress.

5. Intellectual Property

5.1 Ownership

Upon full payment, you own the deliverables created specifically for you. However, Asionis retains ownership of:

• Pre-existing materials, frameworks, and tools
• General knowledge and methodologies
• Reusable code components and libraries

5.2 Portfolio Rights

We reserve the right to use completed projects in our portfolio and marketing materials unless a non-disclosure agreement specifies otherwise.

6. Client Responsibilities

You agree to:

• Provide timely feedback and approvals
• Supply necessary content, materials, and access
• Ensure all provided materials do not infringe on third-party rights
• Make timely payments as specified in agreements
• Maintain the confidentiality of any access credentials provided

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that services will be performed with reasonable skill and care in accordance with industry standards. For software development projects, we provide a 30-day warranty period for bug fixes on delivered code.

7.2 Disclaimer

Except as expressly stated, all services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that services will be uninterrupted, error-free, or meet your specific requirements.

8. Limitation of Liability

To the maximum extent permitted by law, Asionis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services.

Our total liability for any claim arising out of or relating to our services shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

9. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives termination of services.

10. Termination

Either party may terminate services for cause if:

• The other party breaches these terms and fails to cure within 14 days of written notice
• The other party becomes insolvent or enters bankruptcy proceedings

Upon termination, you remain liable for payment of services rendered up to the termination date.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
